Terms of Service

Overnewz is operated from Hungary ("we," "us," "our"); contact: support@overnewz.com. By installing, accessing, or using Overnewz (the "App," "Service"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not install or use the Service.

1. The Service

Overnewz is a real-time market-news service consisting of (a) a desktop overlay application and (b) our servers, which aggregate publicly available news from third-party sources (such as RSS feeds, public channels, and APIs), use automated systems (including third-party AI services) to rewrite headlines into neutral, concise summaries, score them for relevance, and deliver them to the App with attribution and links to the original sources. The App connects to our servers to receive this content. We do not store the underlying news content as a per-user archive.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) and able to form a binding contract. The Service is licensed for your personal, non-commercial use.

3. Not Investment Advice

The Service and all content are provided solely for general informational and educational purposes. Nothing in the Service constitutes financial, investment, trading, legal, accounting, tax, or other professional advice, nor any recommendation, solicitation, or offer to buy, sell, or hold any security, commodity, currency, derivative, or other asset. You are solely responsible for all decisions and actions, including any trading or investment decisions. The Disclaimer is incorporated into these Terms by reference.

4. Accounts, Trial, and Subscriptions

4.1 Free trial. New users receive a single 30-day free trial that does not require a credit card. The trial is tied to a device identifier; circumventing, resetting, or manipulating it — or otherwise attempting to obtain more than one trial — is prohibited. We may use technical measures to detect and prevent trial abuse, and we may suspend, restrict, or terminate access (without refund) for any such attempt. During the trial, the Service may display sponsor messages ("ads").

4.2 Paid subscription. After the trial, continued access requires a paid subscription of US $5 per month (or the then-current price shown at checkout). Paid subscriptions are ad-free.

4.3 Billing. Payments are processed by Stripe. By subscribing, you authorize us, through Stripe, to charge your payment method on a recurring monthly basis until you cancel. Subscriptions renew automatically and are non-transferable.

4.4 Cancellation & refunds. You may cancel at any time from "Manage subscription" in the App; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable and partial periods are not pro-rated. If you are a consumer in the EU/EEA, you have a statutory right to withdraw within 14 days of starting a paid subscription and to receive a refund of the fee for that period; this right is mandatory and is not affected by this clause. We also refund duplicate, unauthorised, or post-cancellation charges. To cancel, use "Manage subscription" in the App; to request a refund, email support@overnewz.com.

4.5 Price changes. We may change pricing with reasonable advance notice; changes apply to billing periods after the notice. We may suspend or terminate access for breach or non-payment.

5. Third-Party Content and Summaries

5.1 All underlying news facts originate from independent third-party sources. We do not author, control, verify, or guarantee the accuracy, completeness, timeliness, or reliability of any third-party content. Source availability, ordering, and delivery may change or cease without notice.

5.2 Headlines and summaries displayed in the Service are our own original rewritten descriptions created for indexing, attribution, and informational purposes. They are not verbatim reproductions of third-party content. Trademarks and source names are used solely for identification and attribution and do not imply endorsement or affiliation.

5.3 Automated summarization (including AI processing) may introduce errors, omissions, mistranslations, or misclassifications. We make no representations about the accuracy or suitability of any summary, relevance score, or asset tag.

6. License and Acceptable Use

6.1 Subject to these Terms and your active trial or subscription, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control.

6.2 You agree not to:

  • Resell, redistribute, sublicense, publicly display, or commercially exploit the Service or its output (including summaries) except as expressly permitted.
  • Scrape, bulk-export, archive, systematically store, or create derivative datasets or competing products from the Service's content or output.
  • Reverse engineer, decompile, disassemble, or attempt to extract source credentials, API keys, tokens, or proprietary methods.
  • Circumvent, reset, or abuse the free trial, or bypass paywalls, authentication, rate limits, or other access controls.
  • Use the Service or its output to violate any law, third-party rights, or the terms of any source.
  • Misrepresent summaries or output as original reporting, financial advice, or your own independent analysis.
  • Share or allow use of a single subscription by more than one individual without our prior written consent.

7. Intellectual Property

The Service — its software, user interface, rewritten summaries, and all related materials — is owned by the operator of Overnewz (or its licensors) and protected by copyright and other applicable laws. You may not remove or alter any proprietary notices. Third-party trademarks and content remain the property of their respective owners.

8. Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Availability; No Warranty

THE SERVICE, ALL CONTENT, AND SUMMARIES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ITEM WILL BE DELIVERED IN REAL TIME OR WITHOUT OMISSION. AUTOMATED SUMMARIZATION (INCLUDING AI) MAY PRODUCE INACCURACIES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR OF OVERNEWZ, ITS AFFILIATES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER DAMAGES ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, RELIANCE ON ITS CONTENT, OR ANY THIRD-PARTY CONTENT OR PROCESSING, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF USD $50 OR THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow certain limitations; in those cases the limitations apply to the fullest extent permitted by law, and nothing here limits liability that cannot be limited by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless the operator of Overnewz and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Changes; Termination

We may modify the Service or these Terms at any time. Material changes will be notified in-app (and by email if you have provided one). Continued use after notification constitutes acceptance. We may suspend or terminate your access immediately for breach, with or without notice. Provisions that by their nature should survive termination (including Sections 3, 5, 7, 9–11, and 14) survive.

13. Force Majeure

Neither party is liable for any delay or failure to perform due to circumstances beyond its reasonable control, including acts of God, war, terrorism, pandemics, government actions, internet or network failures, or natural disasters.

14. Governing Law and Disputes

These Terms are governed by the laws of Hungary, without regard to conflict-of-laws rules. The courts of Hungary will have jurisdiction, except where mandatory consumer-protection law gives you the right to bring proceedings in your place of residence.
