By installing or using Overnewz (the "App"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the App.

1. The service

The App is a desktop overlay that aggregates publicly reported news from third-party sources, rewrites headlines into neutral summaries, and displays them on your screen with attribution and a link to the original source. The App runs locally on your device.

2. Not investment advice

The App is for general informational purposes only and does not provide financial, investment, trading, legal, accounting, or tax advice, or any recommendation to buy, sell, or hold any asset. You are solely responsible for your decisions and trades. See the Disclaimer, which is incorporated into these Terms by reference.

3. Third-party content and sources

3.1 News content originates with third parties. The App identifies the original source of each item and links to it. We do not author the underlying facts and do not control or guarantee third-party content.

3.2 Headlines and summaries shown in the App are our own rewritten descriptions of publicly reported facts, created for indexing, attribution, and informational purposes. Trademarks and source names are used for attribution and identification only and do not imply affiliation with or endorsement by those sources.

3.3 Source availability, accuracy, ordering, and timeliness are not guaranteed and may change or stop without notice.

4. License and acceptable use

4.1 Subject to these Terms (and your subscription, if applicable), we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App.

4.2 You agree not to:

resell, redistribute, sublicense, or commercially exploit the App or its output except as expressly permitted;
scrape, bulk-export, archive, or systematically store the App's content to build a competing dataset or product;
reverse engineer, decompile, or attempt to extract source credentials, API keys, or tokens from the App;
use the App to violate any law, any third party's rights, or any source's terms; or
misrepresent the App's output as financial advice or as your own original reporting.

5. Fees and subscriptions

Pricing, billing cycle, renewal, refund, and cancellation terms for any paid tiers will be disclosed at the point of purchase and incorporated into these Terms.

6. Availability; no warranty

THE APP AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, OR THAT ANY ITEM IS COMPLETE OR ACCURATE.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR OF OVERNEWZ AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING LOSSES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP OR RELIANCE ON ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF USD $50 OR THE FEES YOU PAID FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

8. Indemnification

You agree to indemnify and hold harmless the operator of Overnewz from claims and expenses arising out of your misuse of the App, your violation of these Terms, or your violation of any law or third-party right.

9. Changes; termination

We may modify the App or these Terms; material changes will be notified in-app. Continued use after changes means you accept them. We may suspend or terminate access for breach of these Terms.

10. Governing law and disputes

These Terms are governed by applicable law, without regard to conflict-of-laws rules. Venue and any arbitration or class-action-waiver terms will be specified prior to commercial launch.
